1) OFFERS: Our quotations are valid for 15 days. After this period we are no longer bound by the quotation.

2) ORDERS: Orders are deemed as valid if received through the mail, the telefax or the Internet (in the latter case the Bonfiglioli contract governing E-commerce transactions applies). Order receipt shall be always acknowledged via the mail, the telefax or the Internet (the latter case only if so explicitly requested by the customer). Supplies only include what explicitly specified in the Order Confirmation, under the General Conditions of Supply therein stated. After 10 days from receipt of the Order Confirmation, if no rectification is received, the order is processed under the conditions specified in the Order Confirmation itself. Amendments, partial or complete cancellation of the order received after the Order Confirmation is issued by Bonfiglioli Riduttori shall not be accepted. After goods are delivered no returns of material shall be accepted.

3) DELIVERY TERMS: All prices are for goods delivered ex our works, excluding packaging and all other expenses.

4) DELIVERY DATES: The delivery dates, even if established in our confirmation of order, are purely guidelines since they are defined barring accidents.
This expression, represented by the code S.I. («salvo imprevisti») covers:
a) inadequate technical data or imprecisions or delays by the purchaser in transmitting to us information or data necessary to the shipment of the order; b) difficulties in obtaining supplies of raw materials;
c) total or partial strikes, lack of power, floods, mobilizations, epidemics and all other circumstances of force majeure;
d) breach of stipulated payment conditions.
The occurence of any of the events listed above does not entitle the purchaser to impose penalties or compensation of any kind. Delivery is considered to have taken place when the material is transferred to the forwarder even if the price does not include transport. After delivery, all risks relating to the material sold are assumed by the purchaser.

5) SHIPMENT: Shipment always takes place at the puchaser's risk and expense by the means of transport which we consider most appropriate, when we are not given any specific instructions on this subject.

Messrs Bonfiglioli Riduttori cannot be held liable for losses, delays or damage resulting from shipment. To all legal intents and purposes the goods are considered to have been accepted by the client when they leave our factory.

6) PAYMENTS: Payments must be made to our registered office, with the transmission of the sums due to us at the purchaser's risk, regardless of the procedure chosen. This includes bills of exchange and endorsed bills, the issue of which does not constitute negation of the original obligation, since the same are accepted with reservation. Failure to make payment within the time agreed authorizes Messrs Bonfiglioli Riduttori to charge the customer interest at the rate of 2% prime rate.
Failure to pay or delayed payment also authorizes Messrs Bonfiglioli Riduttori to impose an immediate suspension of production and delivery of other material, and to cancel any order with no entitlement on the purchaser's side to any title or on any grounds. Any complaints regarding the materials supplied does not release the customer from the obligation to comply with the terms of payment stipulated.

7) PRICES: The prices indicated on the quotations and on the confirmations of order are those from the Price List in force as of the date of document issue: moreover, Messrs Bonfiglioli Riduttori reserves the right to vary them whenever, during supply of goods, it finds itself forced to modify the said Price List as a result of variations in its production costs.

8) GUARANTEE: The guarantee provided by Messrs Bonfiglioli Riduttori for faults and defects of any kind or degree lasts for one year from the date of invoice for the goods. The guarantee covers the replacement or repair of the goods free of charge, provided Messrs Bonfiglioli Riduttori acknowledges that the material shows manufacturing defects.
The customer or installation engineer must give nodification of the fault or defect within 8 days from receipt of the goods, when these are visible or can be noticed when are put into operation: or within 8 days from discovery of the same in the case of units installed and in operation.
The goods about which the complaint is made must be shipped to our factory, free of all freight and packaging expenses, in order to allow the necessary checks to be made. Messrs Bonfiglioli Riduttori does not accept any charge for any damage or injury sustained in any way from the items supplied, except for the obligations to replace or repair as specified above. Moreover, all guarantees become completely null and void if the purchaser has performed repairs or modifications, or had the same performed, without prior written authorization from Messrs Bonfiglioli Riduttori.
The warranty does not cover damages and/or defects on BONFIGLIOLI RIDUTTORI products caused by anomalies present on the elements coupled directly by the customer.

9) LEGAL DOMICILE AND JURISDICTION: Messrs Bonfiglioli Riduttori is legally domicilied at its own head offices.
All disputes which may arise in relation to this contract, even if with foreign nationals or for goods supplied abroad, shall be governed by Italian law and the Bologna law court shall have sole jurisdiction. Messrs Bonfiglioli Riduttori reserves the right, when bringing legal action as plaintiff, to take such action at the purchaser's place of residence, in Italy or abroad.
