Dear Sirs,
the undersigned Bonfiglioli Mechatronic Research S.p.A. hereby gives notice to its Customers and Suppliers that on April 12th, 2021, the General assembly of Bonfiglioli Mechatronic Research S.p.A. and of Bonfiglioli Riduttori S.p.A. has resolved the transaction of Merger by incorporation of the company Bonfiglioli Mechatronic Research S.p.A. into the company Bonfiglioli Riduttori S.p.A. .
The Merger will be completed within the end of June 2021 with effective date July 1st, 2021.
All your current relationships with Bonfiglioli Mechatronic Research S.p.A., will continue, without any interruption, with the incorporating Bonfiglioli Riduttori S.p.A., with effect as of July 1st , 2021.
The transaction will include also receivables and payables so, payables due or becoming due to Bonfiglioli Mechatronic Research S.p.A. (C.F. e P.IVA 02215960226), and existing at the effective date of July 1st ,2021 shall be paid to Bonfiglioli Riduttori S.p.A. (C.F. e P.IVA 04984850968).
Here below you may find the relevant data of the merging company, with request to modify your master data – or to create it in case not available – with effective date July 1st ,2021:
