Dear Sirs,
the undersigned Bonfiglioli Riduttori S.p.A. hereby gives notice to its Customers and Suppliers that on December 11th, 2020, the Boards of Directors of Bonfiglioli Riduttori S.p.A. and Bonfiglioli Italia S.p.A. have resolved the transfer of the business operations of Bonfiglioli Riduttori S.p.A. (hereinafter, the “Business Operations”) in favor of Bonfiglioli Italia S.p.A. by contribution in kind.
The transfer will be completed within December 31st ,2020 with effective date January 1st ,2021.
All your current relationships with Bonfiglioli Riduttori S.p.A., since included in the Business Operations thus transferred, will continue, without any interruption, with the transferee Bonfiglioli Italia S.p.A., with effect as of January 1st, 2021.
We also inform you that on completion of said transfer, the transferor Bonfiglioli Riduttori
S.p.A. will change its company name in “Bonfiglioli S.p.A.”, while the transferee Bonfiglioli Italia S.p.A. will change its company name in “Bonfiglioli Riduttori S.p.A.”.
Business operations will include also receivables and payables so, payables due or becoming due to Bonfiglioli Riduttori S.p.A. (Fiscal Code 00304840374 and VAT Code 00500551205) and
existing at the effective date of January 1st ,2021, shall be paid to Bonfiglioli Italia S.p.A. (Fiscal Code and VAT Code 04984850968) that, as said, will change its company name in Bonfiglioli Riduttori S.p.A.. Specific instructions will follow, where necessary.
Here below you may find the relevant data of the transferee, with request to modify your master data – or to create it in case not available – with effective date January 1st,2021:
